I figured out why Photoshop wouldn't install.
Apparently if you have a 64 bit processor with DEP (Data Execution Prevention) turned on the install will fail.
You will need to change your boot.ini file to have this setting:
/NoExecute=AlwaysOff

Once I disabled DEP Photoshop installed with no problems.
