Cheers
You need a solid color background on one layer and the grid on another layer above. Then add a layer mask to the grid layer, selecting the layer in the layers pallette, then using the button in the layers pallette that looks like a rectangle with a circle in it. Now you will see a mask thumbnail (little picture) in the layer in the pallette. Making sure that the mask thumb is active (click it to make sure), use the Gradient tool to run a white to black, linear gradient from the top of the image to the bottom (hold Shift to keep the gradient vertical or horz).
This should make the masked layer fade toward the bottom, revealing the solid color layer beneath.
Redo the grad using different starting points and lengths until you get the right look. A very short gradient makes the fade over a short area, while a long gradient, maybe even extending past the image bounderies, will create a very gradual change.
This works because in a mask, white reveals, and black hides (what does gray do?).
