have a horizontal header image that i would like to fade into opacity so that my background color will show. i can’t seem to figure out how to do this. any help would be appreciated. thanks!

Double-click background layer icon (not the name) in layers palette to make it a layer. Reduce opacity. Save for web (as PNG24).

that will apply the opacity to the ENTIRE image. i am trying to apply it as a ‘gradient.’

after making the background into a layer, apply a gradient mask.

Layer… layer mask… reveal all. Then make sure the layer mask is highlighted (black stroke around it) in the layers palette. Then use the gradient tool or a very large soft brush on the layer mask.
